How a project should move
- Review the partner’s business, service area, examples and references.
- Agree membership terms and separate permission for the approved portfolio.
- Match a suitable enquiry to an available partner and obtain a written price.
- Confirm the client proposal and a project work order with named responsibilities.
- Track delivery, changes, handover, payments and client feedback.
The agreement framework
1. Partner relationship
The parties are [full legal name and registration or identity details], trading as Sista Sista Creations, represented by Lebohang Lwate, and [partner full legal name, registration details, address and authorised representative]. The effective date and service areas must be completed before signature. Each party operates an independent business. This arrangement does not create employment, an equity partnership, a franchise or authority to bind the other party.
2. Membership and opportunities
Applications require individual review. Listing starts only after written approval and agreement on terms. No membership fee or exclusivity is established by this draft. Any future fee must be separately agreed in writing. Membership or portfolio publication does not guarantee leads, bookings, turnover or a minimum number of jobs. The partner may decline an opportunity before accepting a work order.
3. Portfolio permission and credit
The partner identifies each approved photograph or video, the project, its actual role and the copyright owner. The partner must secure the permission necessary for the agreed use, including any required permission concerning identifiable people. Sista Sista receives a nonexclusive licence to reproduce only the approved materials on agreed website and marketing channels, with agreed credit. Ownership is not transferred. Material changes, new channels or paid campaigns require the permission recorded in the release. Partner prior work must be labelled as partner prior work, not as a project commissioned or managed by Sista Sista Creations.
4. Withdrawal of portfolio permission
The release records its duration and a named contact for withdrawal. On a valid rights complaint or withdrawal request, new promotion of the affected material stops and controlled online copies are removed within the period agreed in the release, with urgent privacy issues prioritised. The parties record any legally necessary archive retention and practical limits on recalling printed materials or third party reshares. Ending membership does not expand the licence.
5. Selecting a delivery partner
Sista Sista considers location, availability, relevant experience, capacity, quoted price and previous performance. It does not assign work automatically on the strength of membership alone. The partner must disclose capacity limits and confirm availability in writing. Substitution or further subcontracting requires prior written approval and must preserve the agreed quality and responsibilities.
6. Work orders and delivery
Each accepted project requires a written work order signed or otherwise expressly accepted by authorised representatives. It identifies the client brief, venue, date, service scope, delivery lead, equipment, crew, setup and collection windows, quality requirements, accessibility, safety duties and required permits or insurance. Work begins only when the agreed booking conditions are met. Sista Sista manages the agreed client and administrative coordination; the partner remains responsible for its assigned delivery.
7. Prices payments and tax
The work order records the partner price, whether tax applies, the payer and payee, payment milestones, expenses, any Sista Sista management margin or fee, and its calculation base. No commission percentage is imposed by this draft. The client quote and partner payment schedule must each be clear and approved. No person may promise payment, make deductions, change banking details or approve refunds for the other party without written authority. Bank details must be verified through a trusted channel.
8. Changes cancellation and delays
Scope changes need written approval recording cost and timing before the changed work starts. The work order states proportionate cancellation, postponement, deposit and refund terms and how committed third party costs are evidenced, subject to applicable consumer law. A party that anticipates a delay must notify the other promptly and propose mitigation. Emergencies, weather and venue restrictions are addressed in the project plan; replacement suppliers and extra expenditure require approval.
9. Client information and confidentiality
Share only the information necessary to deliver the project. Each party protects pricing, client contact details, private correspondence and event information, limits access to authorised people and uses secure channels. The parties record their applicable POPIA roles and any required operator terms. A suspected breach must be reported to the other party without undue delay so lawful responses can be coordinated. Information is returned or deleted when no longer required, subject to lawful records obligations.
10. Client relationships and marketing
The client contact and communication responsibilities are recorded for each project. Neither party may misrepresent the other, claim ownership of the other’s past work or use confidential project leads for unauthorised marketing. Any narrowly defined lead protection term must be separately negotiated, reasonable and reviewed. The partner retains its existing clients and business identity.
11. Quality complaints and responsibility
The partner delivers the accepted scope with reasonable care and skill and keeps evidence of the agreed handover. Complaints are recorded and investigated promptly, with a reasonable opportunity to remedy where appropriate. Each party is responsible for its own acts and omissions and the work it accepts. Insurance, any liability limits and any indemnities must be specifically negotiated and legally reviewed; this draft does not waive nonwaivable consumer rights.
12. Term exit and disputes
The membership agreement records its term, notice period, cure period for remediable breaches and grounds for urgent suspension, including safety, fraud or rights concerns. Termination does not cancel accepted work orders without addressing clients, committed costs and handover. Parties first seek a documented resolution, then consider mediation, without excluding urgent relief or applicable statutory remedies. South African law applies; the final agreement must specify service addresses and the agreed forum.
